Antonio Peguero, Jr. has represented public and private businesses, partnerships and investment managers of all sizes and stages of development. He has advised clients on complex corporate and commercial transactions, including acquisitions and sales, loan and security agreements, and the purchase, sale and leasing of property. Additionally, Mr. Peguero has extensive experience with securities, regulatory and compliance matters, including registered public offerings, private offerings, and regulatory compliance filings.
Prior to joining the firm, Mr. Peguero was General Counsel and Chief Operating Officer at DKR Capital Partners LP, an SEC registered investment adviser, where he managed the legal, compliance and operations of funds specializing in systematic trading programs and quantitative strategies. Before joining DKR, Mr. Peguero was Vice President and Senior Attorney at Plainfield Asset Management LLC, an SEC registered investment adviser to multi-strategy funds. At Plainfield, Mr. Peguero prepared and negotiated offering and subscription documents, investment management, fund administration and related agreements for multi-strategy and liquid strategy funds. He also managed the legal aspects of the restructuring of funds involving the issuance of liquidating share classes to redeeming investors, and drafted financing documents relating to the organization and financing of direct lending and specialty finance portfolio companies.
Mr. Peguero has extensive experience as counsel to public and private companies in connection with equity financings, mergers and acquisitions, credit and security agreements. He has drafted and negotiated offering documents involving U.S. and offshore funds in private placements of multiple classes of equity securities. He has represented public utility holding companies in connection with registered public offerings (common stock, senior notes, medium term notes, trust originated preferred securities, securitized bonds and issuer tender offers), mergers and acquisitions, credit and security agreements and regulatory filings.
He began his legal career practicing corporate and project finance law at White & Case LLP in Washington, DC.
Mr. Peguero received a B.A., cum laude, from Harvard University in 1991 and a J.D. from Columbia University School of Law in 1994, where he was a Harlan Fiske Stone Scholar. He is admitted to practice in the State of New York and is a member of the Association of the Bar of the City of New York, the American Bar Association, the New York State Bar Association and the National Hispanic Bar.
