Litigation and Alternative Dispute Resolution
Litigation and alternative dispute resolution make up a significant part of our practice. We represent corporations, medium-sized and small businesses, public agencies, not-for-profit entities and individuals in a wide array of matters in the state courts of New York and the United States District Courts in New York.
Since 2004, C&P has been one of a select few law firms chosen by the Comptroller of the City of New York to conduct hearings and provide ancillary services under General Municipal Law Section 50-h.
The attorneys in our firm have significant trial and mediation experience, including experience in contract and commercial litigation, significant property damage litigation, personal injury litigation, premises liability litigation, construction accident litigation and motor vehicle accident litigation.
We have extensive experience in both arbitration and mediation proceedings, with court applications to compel arbitration, to stay arbitration, and to enforce arbitration awards.
Corporate and Commercial
Our firm represents corporate clients in commercial matters in a wide range of contexts, including the purchase, sale, financing and structuring of businesses. We prepare and review contracts, and conduct negotiations on behalf of clients relative to commercial leases, purchase agreements, construction agreements, joint venture agreements, vendor agreements, management agreements, employment agreements, shareholder agreements, partnership agreements and operating agreements. We formalize business entities for domestic corporations, LLC’s and LLP’s. We represent investment advisers and investors on legal, compliance and regulatory matters. We provide general legal advice, and offer general counsel services, to small and mid-sized businesses and not-for-profit organizations.
Along with co-counsel, the firm has also previously advised the New York City Comptroller in the private market investments made by the pension funds it manages. We conducted legal due diligence on the investment manager, and reviewed and negotiated limited partnership agreements, investment management agreements, subscription documents and investor side letters.
Real Property
The firm represents purchasers and sellers of commercial and residential real property, including interests in condominiums, cooperatives, single and multi-family dwellings and other common interest entities. We have also represented mortgage lenders in residential and commercial real estate closings and transactions.
